3. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for the delivery of consulting services. Any delays or issues resulting from inaccurate or incomplete information provided by the client may affect project timelines and outcomes.

3.2 Cooperation and Communication

Clients must maintain open and professional communication throughout the engagement period. This includes responding to requests for information, feedback, and attending scheduled meetings as agreed upon in the service agreement.

3.3 Implementation

While we provide strategic recommendations and guidance, the implementation of our suggestions remains the client's responsibility. We cannot guarantee specific business outcomes as results depend on various factors including market conditions and execution quality.

4. Payment Terms

4.1 Fees and Billing

Consulting fees are outlined in individual service agreements and may be structured as fixed-price projects, hourly rates, or retainer arrangements. All fees are due according to the payment schedule specified in your service agreement.

4.2 Late Payments

Late payments may result in suspension of services and additional fees. Accounts that remain unpaid for more than 30 days may be subject to collection proceedings and legal action.

4.3 Refund Policy

Refunds are handled on a case-by-case basis and are generally limited to services not yet delivered. No refunds will be provided for completed consulting work or advice already rendered.

5. Confidentiality and Intellectual Property

5.1 Confidentiality

We maintain strict confidentiality regarding all client information and business matters disclosed during our engagement. This confidentiality extends to all team members and subcontractors involved in your project.

5.2 Intellectual Property Rights

All methodologies, frameworks, and proprietary tools developed by CoreConsultingHub remain our intellectual property. However, recommendations and strategies developed specifically for your business become your property upon full payment of consulting fees.

5.3 Work Product

Reports, analyses, and deliverables created specifically for your engagement are your property. However, we retain the right to use general knowledge, experience, and insights gained during the engagement for future client work, provided no confidential information is disclosed.

6. Limitation of Liability

Our liability is limited to the total amount of fees paid for the specific services giving rise to the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities.

Our recommendations are based on information available at the time of analysis and general business principles. We cannot guarantee specific business outcomes or success as these depend on numerous factors beyond our control.

7. Termination

7.1 Termination by Client

Clients may terminate services at any time with written notice. Payment for all work completed up to the termination date will be due within 30 days.

7.2 Termination by CoreConsultingHub

We reserve the right to terminate services if the client breaches these terms, fails to make required payments, or if the engagement becomes impractical due to lack of cooperation or communication.

8. Dispute Resolution

Any disputes arising from our services will first be addressed through good faith negotiations. If resolution cannot be achieved, disputes will be handled through binding arbitration in accordance with applicable commercial arbitration rules.

These terms are governed by the laws of the jurisdiction where CoreConsultingHub is incorporated, without regard to conflict of law provisions.

9. General Provisions

9.1 Entire Agreement

These Terms of Service, together with any executed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

9.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

9.3 Force Majeure

Neither party will be liable for any delay or failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, terrorism, or government actions.
